Terms and Conditions

These Terms and Conditions govern all contractual relationships between PSL CONFERENCES SARL and its clients for any language services and event coordination services.

1. Definitions

  • "Provider" or "PSL": PSL CONFERENCES SARL, a company incorporated under Senegalese law
  • "Client": any natural or legal person placing an order with PSL CONFERENCES
  • "Service": any translation, interpretation, event coordination, or related service provided by PSL
  • "Quote": detailed commercial proposal issued by PSL following a Client request
  • "Order": acceptance of the quote by the Client constituting a binding commitment

2. Scope of Application

These Terms and Conditions apply to all services offered by PSL CONFERENCES, including:

  • Document translation (technical, legal, marketing, medical, etc.)
  • Localization and cultural adaptation services
  • Conference interpretation (simultaneous, consecutive, whispered)
  • Liaison interpretation and escort services
  • Multilingual event coordination and organization
  • Interpretation equipment rental
  • Proofreading and revision services

Any order implies unreserved acceptance of these Terms and Conditions by the Client.

3. Quotes and Orders

3.1 Quote Validity

All quotes issued by PSL CONFERENCES are valid for 30 calendar days from the date of issue, unless otherwise stated. After this period, PSL reserves the right to revise the proposed rates and deadlines.

3.2 Quote Content

  • Detailed service description
  • Language combination (source and target languages)
  • Volume (word count, pages, or days)
  • Unit price and total amount excluding and including VAT
  • Delivery deadline
  • Payment terms
  • Any special conditions

3.3 Placing an Order

An order is deemed firm and final upon PSL CONFERENCES' receipt of the Client's written acceptance of the quote (email, signature, purchase order) and, where applicable, payment of the requested deposit.

3.4 Modifications

Any modification requested by the Client after acceptance of the quote will be subject to a new quote. PSL reserves the right to adjust deadlines and rates accordingly.

4. Pricing

4.1 Pricing Basis

  • Translation: pricing per source word or per page (1,500 characters including spaces) depending on document type
  • Interpretation: pricing per half-day (4 hours) or full day (8 hours), including preparation time
  • Coordination: fixed price based on event scope or daily rate

4.2 Applicable Supplements

  • Urgency (delivery within 24-48 hours): 30% to 100% surcharge depending on volume
  • Weekend and holiday work: 50% surcharge
  • Highly specialized fields: 15% to 25% surcharge
  • Complex formats (DTP, subtitling): as per quote
  • Travel outside Dakar: actual costs + daily allowances

4.3 Additional Expenses

Travel, accommodation, equipment transport, and other expenses incurred on behalf of the Client are invoiced separately, based on receipts or agreed fixed amounts.

5. Payment Terms

5.1 Deposit

A deposit of 50% of the total amount including VAT is required at order for any project exceeding 500,000 FCFA or for any new client. This deposit is non-refundable in case of cancellation attributable to the Client.

5.2 Balance

The balance is payable upon receipt of invoice, within 30 calendar days, unless otherwise agreed in writing.

5.3 Payment Methods

  • Bank transfer (details provided on invoice)
  • Mobile Money (Orange Money, Wave)
  • Check (Senegalese clients only)
  • Secure online payment (upon request)

5.4 Late Payment

In case of late payment, late payment penalties will automatically apply at a rate of 1.5% per month of delay, without any reminder being necessary. PSL reserves the right to suspend any ongoing or future services until the client account is settled.

6. Delivery Deadlines

6.1 Commitment

PSL CONFERENCES commits to meeting the deadlines agreed upon in the accepted quote. Deadlines run from receipt of all elements necessary for service execution (source documents, glossaries, instructions).

6.2 Extension

Any delay in the Client's transmission of elements or any modification request during the project automatically results in deadline extension.

6.3 Force Majeure

PSL cannot be held responsible for delays resulting from force majeure events (natural disasters, strikes, major IT failures, epidemics, etc.).

7. Confidentiality

7.1 Confidentiality Commitment

PSL CONFERENCES undertakes to treat all documents, information, and data transmitted by the Client in strict confidence. This obligation extends to all employees, translators, and service providers involved in delivering the services.

7.2 Enhanced Confidentiality Agreement

For particularly sensitive projects, a specific non-disclosure agreement (NDA) can be established upon Client request, at no additional cost.

7.3 Duration

The confidentiality obligation continues for a period of 5 years after the end of the business relationship.

8. Intellectual Property

8.1 Source Documents

The Client retains ownership of all source documents transmitted to PSL CONFERENCES. These documents will be returned or destroyed upon request after completion of the service.

8.2 Translations

Intellectual property rights in translations are transferred to the Client upon full payment of the corresponding invoice. Until such payment, PSL retains full rights to the translations produced.

8.3 Tools and Translation Memories

Translation memories, glossaries, and terminology databases developed as part of the services remain the property of PSL CONFERENCES, unless otherwise agreed in writing.

9. Quality and Warranties

9.1 Quality Commitments

  • Translations performed exclusively by professional translators working into their native language
  • Qualified and experienced interpreters in their fields of specialization
  • Systematic proofreading by a second linguist for critical documents
  • Compliance with Client glossaries and instructions

9.2 Claims

Any claim regarding service quality must be submitted in writing within 15 days of delivery, accompanied by a precise description of the errors found. PSL commits to correcting proven errors free of charge within a reasonable timeframe.

9.3 Exclusions

The warranty does not cover modifications made by the Client or a third party after delivery, nor errors resulting from inaccurate or incomplete information provided by the Client.

10. Liability

10.1 Limitation

PSL CONFERENCES' liability is strictly limited to the amount of the service concerned. Under no circumstances shall PSL be held liable for indirect damages, loss of business, commercial harm, or reputational damage suffered by the Client.

10.2 Insurance

PSL CONFERENCES holds professional liability insurance covering damages that may result from its business activities.

11. Cancellation and Postponement

11.1 Translation Projects

  • Cancellation before work begins: no charge (deposit refund)
  • Cancellation after work begins: pro-rata billing based on work completed

11.2 Interpretation Services

  • Cancellation more than 15 days before: no charge
  • Cancellation between 8 and 15 days before: 30% of total amount
  • Cancellation between 3 and 7 days before: 50% of total amount
  • Cancellation less than 3 days before: 100% of total amount

11.3 Postponement

A date postponement is possible at no charge if requested at least 8 days before the service and subject to interpreter and equipment availability.

12. Force Majeure

Neither party shall be held liable for non-performance of its obligations if such non-performance results from a force majeure event as defined by Senegalese jurisprudence (unforeseeable, irresistible, and external event). The affected party must notify the other party as soon as possible.

13. Personal Data Protection

Personal data collected in the course of the business relationship is processed in accordance with our privacy policy, available on our website. The Client has the right to access, rectify, and delete their data.

14. Dispute Resolution

14.1 Amicable Settlement

In case of any dispute relating to the interpretation or performance of these Terms and Conditions, the parties undertake to seek an amicable solution before any legal action.

14.2 Mediation

Failing amicable agreement within 30 days, the parties may agree to submit their dispute to an accredited mediator.

14.3 Jurisdiction

In case of mediation failure or absence of recourse thereto, any dispute shall be subject to the exclusive jurisdiction of the courts of Dakar (Senegal).

15. Applicable Law

These Terms and Conditions are governed by Senegalese law. They constitute the entire agreement between the parties and prevail over any general purchasing terms of the Client, unless expressly agreed otherwise in writing.

16. Modification of Terms

PSL CONFERENCES reserves the right to modify these Terms and Conditions at any time. The applicable terms are those in force at the date of the order. Any modification will be brought to the attention of clients through publication on our website.
